Terms of Service

Agreement

RefRef is operated by Exa Labs LLC (“we,” “our,” or “us”). These Terms of Service govern your use of the RefRef website, the hosted RefRef service, the RefRef Shopify app, and the RefRef WordPress plugin. By creating an account, installing the app or plugin, or using the service, you agree to these terms on behalf of yourself and the organization you represent. If you do not agree, do not use RefRef.

The Service

RefRef is a hosted platform for referral, affiliate, and loyalty Programs. You configure Programs and Rewards in the RefRef Console or a store app. RefRef records referral activity and the events that your systems or connected stores send, applies your Program rules, and calculates Rewards. RefRef delivers a Reward only through a method you configure, such as a discount code or store credit in your connected store.

Accounts and Workspaces

• Give accurate account information and keep your sign-in details secure.
• You are responsible for the members you invite to your Workspace and for the actions they take.
• Keep API keys and client secrets on trusted servers. Do not put them in browser or mobile code.
• Tell us promptly at help@refref.ai if you suspect unauthorized access to your account.

Your Programs and Participants

You operate your Programs. You decide who can take part, what Rewards they earn, and the terms you give to your referrers, partners, and customers. You are responsible for those terms, for the Rewards you promise, and for compliance with the laws that apply to your Programs. These include consumer protection, endorsement disclosure, marketing consent, tax, and privacy laws.

You must have a lawful basis to send personal data about your customers and participants to RefRef. We process that data on your behalf to provide the service, as described in our Privacy Policy.

Rewards and Payouts

RefRef calculates Rewards from your Program configuration and the events it receives. You remain responsible for funding and honoring the Rewards that your Programs promise. RefRef does not currently pay cash to your referrers or partners: you pay them directly. If we offer cash payouts in the future, additional terms will apply to that feature.

Plans and Billing

RefRef offers a Free plan and paid plans. Each plan includes a monthly allowance of active participants. When a Workspace goes over its allowance, it first gets a grace month. If it goes over again in the next month, RefRef stops creating new referrals and enrollments until the month ends or the Workspace moves to a larger plan. Existing referrals, Rewards, and links keep working. Current plans and prices are on our pricing page.

Paid plans bought in the RefRef Console are sold through Dodo Payments, which acts as the merchant of record and processes your payment and applicable taxes. Dodo Payments' terms also apply to your purchase. Workspaces created by the Shopify app pay through Shopify's app billing, and Shopify's terms apply to those charges.

Subscriptions renew automatically for the billing period you choose until you cancel. A cancellation takes effect at the end of the current paid period. For refund requests, contact help@refref.ai; we handle them under the payment provider's policy and applicable law.

Acceptable Use

You must not use RefRef to:

• Send spam or unsolicited messages
• Create fake referrals, accounts, or purchases, or otherwise defraud a Program
• Process data you have no right to process
• Break the law or infringe the rights of others
• Probe, disrupt, or overload the service, or get around its security or plan limits

Third-Party Services

RefRef connects to services that other companies operate, such as Shopify, WordPress and WooCommerce, and billing and payment providers. Your use of those services is governed by their terms. We are not responsible for their availability or for how they process data under your accounts with them.

Plugin and Service Licensing

The distributed RefRef WordPress plugin files are licensed under GPLv2-or-later. That license does not apply to the separately hosted RefRef service, which we provide under these terms. Except for that license, we keep all rights in RefRef, and you keep all rights in the data you send to it.

Your Data

You own the data you and your systems send to RefRef. You allow us to use it to provide, secure, and support the service. Our Privacy Policy describes the data we process, data requests, retention, and deletion.

Availability and Changes

We work to keep RefRef available and secure, but we do not guarantee uninterrupted service unless we agree to that in writing. We may change, add, or remove features. We will give reasonable notice of a change that materially reduces a paid feature you use.

Suspension and Termination

You can stop using RefRef at any time and cancel a paid plan as described above. We may suspend or end access to the service if you break these terms, if your use creates a security or legal risk, or if a payment is not made. When it is practical, we will tell you first and give you a chance to fix the problem.

Disclaimers

Except as expressly stated in these terms, RefRef is provided “as is” and “as available,” without warranties of any kind, to the extent the law allows. We do not warrant that referral attribution will capture every referral, because browsers, consent choices, and connected platforms can limit tracking.

Limitation of Liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim about RefRef is limited to the amount you paid us for the service in the 12 months before the claim.

Indemnification

You will defend and indemnify us against third-party claims that arise from your Programs, the Rewards and terms you offer, the data you send to RefRef, or your breach of these terms.

Changes to These Terms

We may update these terms. We will post the new terms on this page and update the “Last updated” date. If a change is material, we will also notify Workspace owners. If you continue to use RefRef after a change takes effect, you accept the updated terms.
